Investment criteria: what we look for

What makes Copeley unique?

Focus on smaller businesses: we understand the nuances and issues common to businesses in the lower end of the middle market

Think and act like partners: we function as resources to assist management with important issues such as new market entry, new team member recruitment, acquisitions, and crisis management

Execute quickly: we evaluate and close transactions quickly due to our dedicated fund, lending relationships, small team approach, and deep understanding of privately held businesses

Through our dedicated fund of capital, Copeley invests in change of control transactions involving companies that generate at least $2 million in EBITDA.

We are “industry generalists” and, thus, do not invest along industry or thematic lines, but seek businesses that are established leaders in their markets.

Copeley focuses on companies with the following characteristics:

  • Successful management teams
  • High quality product or service
  • Deep relationships across a diverse customer base
  • Unique market position
  • Differentiated product and / or service
  • Adequate barriers to entry
  • High returns on capital

Types of transactions

We customize each transaction to most effectively address the goals of all parties involved and provide meaningful ownership opportunities for management teams. Copeley has the resources and experience necessary to provide creative alternatives for business owners who are seeking liquidity, including the following:

  1. Recapitalizations of family-owned companies:  providing owners / operators with the opportunity to remain involved in the company while achieving some liquidity and transferring majority ownership.
  2. Owner / operator transitions:  supporting an owner’s goal of exiting a business by facilitating a transition of operating responsibilities to a proven manager from within or outside the company.
  3. Corporate divestitures:  acquiring divisions of larger companies and transitioning them to standalone status.
  4. Growth capital:  providing equity capital to support growth initiatives.
